5. Payment Procedures

You agree to pay the fees applicable to your subscription and any other applicable fees, including but not limited to fees relating to the processing of transactions under your account (“Fees”). All initial and recurring Fees will be charged to the credit card that you authorize for your account. It is your responsibility to keep your authorized credit card valid and up to date at all times. We may terminate or block access to your account if your credit card becomes expired or otherwise invalid at the time any Fees become due. (b) Include or contain any material that is explosive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in our sole discretion.

(c) Involve stalking, attempting to exploit or harm any individual (including minors) in any way by exposing them to inappropriate content or otherwise or ask for personal information as prohibited under applicable laws, regulations, or codes.

(d) Involve, provide, or contribute any false, inaccurate, or misleading information.

(e) Include sending, knowingly receiving, uploading, downloading, using, or reusing any material that does not comply with the Conditions of Use and User Submissions and Site Content Standards.

(f) Impersonate or attempt to impersonate HIGHPATH SOFTWARE INC., our employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).

8. Ownership of User Submissions and Grant of License

HIGHPATH SOFTWARE INC. claims no intellectual property rights with respect to User Submissions that you choose to submit to the website. You grant to HIGHPATH SOFTWARE INC. a non-exclusive, royalty-free right during your use of the Website, to use the User Submissions for the sole purpose of performing HIGHPATH SOFTWARE INC.’s obligations under these Terms of Use. You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, in any form or medium whatsoever except:

10. Site Monitoring and Enforcement, Suspension and Termination

You may cancel and terminate your Account at any time in accordance with the terms and policies posted on the Website. If at the date of termination of your Account, there are any outstanding payments owing by you to us, you will receive one final invoice via email. Once that invoice has been paid in full, you will not be charged again. HIGHPATH SOFTWARE INC. has the right, without provision of notice to:

  • Remove or refuse to post on the Website any User Submissions for any or no reason in our sole discretion.

  • At all means, take such actions with respect to any User Submission deemed necessary or appropriate in our sole discretion, including, without limitation, for violating these Terms and Conditions.

  • Take appropriate legal action, including, without limitation, referral to law enforcement or regulatory authority, or notifying the harmed party of any illegal or unauthorized use of the Website. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requiring or directing us to disclose the identity or other information of anyone possessing any materials on or through the Website.

  • Terminate or suspend your access to all or part of the Website for any or no reason, including, without limitation, any violation of these Terms and Conditions.

YOU WAIVE AND HOLD HARMLESS HIGHPATH SOFTWARE INC. AND ITS PARENT, SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, AND SUCCESSORS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY HIGHPATH SOFTWARE INC. AND ANY OF THE FOREGOING PARTIES RELATING TO ANY, INVESTIGATIONS BY EITHER HIGHPATH SOFTWARE INC., OR SUCH PARTIES, OR BY LAW ENFORCEMENT AUTHORITIES. 16. Governing Law and Choice of Forum

These Terms of Service shall be governed by and construed in accordance with the Provincial laws of Ontario, and the federal laws of Canada applicable therein. If any claim, dispute or controversy occurs between HIGHPATH SOFTWARE INC. and a User relating to the interpretation or implementation of any of the provisions of these Terms of Use, such dispute shall be resolved by private, confidential and binding arbitration. Such arbitration shall be conducted by a single arbitrator. The arbitrator shall be appointed by agreement of the parties or, in the absence of an agreement, such arbitrator shall be appointed by a judge upon the application of either the User or HIGHPATH SOFTWARE INC. Arbitration shall be held in the Province of Ontario, unless otherwise agreed by the parties. The arbitration the procedure to be followed shall be agreed by the parties or, in absence of an agreement, determined by the arbitrator. The arbitration shall proceed in accordance with the provisions of the Arbitration Act, 1991, SO 1991, c 17. Subject to any right of appeal, the decision arrived at by the arbitrator shall be final and binding. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

17. Severability

If any term or provision of these Terms and Conditions is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms and Conditions or invalidate or render unenforceable such term or provision in any other jurisdiction.

18. No Agency

The parties to these Terms of Use are independent contractors and are not partners or agents. HIGHPATH SOFTWARE INC. has no fiduciary obligations or professional obligations whatsoever to you arising from these Terms of Use or your use of the Website.

19. Entire Agreement

The Terms and Conditions and our Privacy Policy constitute the sole and entire agreement between you and HIGHPATH SOFTWARE INC. regarding the Website and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.
